Terms of Service — COD Confirm

These terms govern your use of the COD Confirm application ("the App") for Shopify. By installing the App you agree to them.

1. What the App does

The App detects Cash-on-Delivery orders in your Shopify store, sends the customer a WhatsApp message asking them to confirm, cancel, or request a call, and tags the order in Shopify according to their reply. Messages are sent through the official Meta WhatsApp Business Cloud API.

2. Your responsibilities as the merchant

• You are the data controller for your customers' personal data. You confirm you have the necessary basis to contact your customers about orders they have placed.
• You are responsible for the accuracy of your app settings, including which payment method names count as Cash on Delivery and your sending hours.
• You must not use the App to send marketing, promotional, or unsolicited messages. The App sends transactional utility messages only.

3. Data processing terms

For the purposes of data protection law, you are the data controller and COD Confirm is the data processor. As processor we agree that we will:

• Process personal data only to provide the App's functionality, and only on your instructions as expressed through your use of the App;
• Process only the minimum data required: customer phone number and order metadata. We do not process customer email addresses, postal addresses, or payment details;
• Not sell personal data, share it for advertising, or use it to train models;
• Keep personal data confidential and restrict access to those who need it to operate the service;
• Apply appropriate technical and organisational security measures, including encryption of credentials at rest and TLS in transit;
• Engage only the subprocessors listed in our Privacy Policy (Meta Platforms for message delivery, and our infrastructure provider);
• Assist you in responding to data subject requests, and honour Shopify's customers/redact and shop/redact requests;
• Delete customer personal data when the App is uninstalled, and delete all data for your store when Shopify sends a shop redaction request;
• Notify you without undue delay if we become aware of a personal data breach affecting your customers' data.

4. Fees and billing

All charges are made through Shopify's Billing API and appear on your Shopify invoice. A free allowance applies to new installs; after that a recurring monthly fee plus a per- confirmation usage fee applies, as shown in the App and on our App Store listing. Usage charges are capped at the amount you approve. Uninstalling the App stops all future charges automatically. We do not bill through any external payment processor.

5. Third-party dependencies

The App depends on the Shopify Admin API and the Meta WhatsApp Business Cloud API. Message delivery is ultimately performed by Meta and is subject to their availability, policies, messaging limits, and template approval process. We cannot guarantee delivery of any individual message.

6. Service availability

We aim to keep the App available at all times but do not guarantee uninterrupted service. Sending is subject to your configured working hours, your daily send cap, and limits imposed by Meta.

7. Limitation of liability

The App is provided "as is". To the maximum extent permitted by law, our total liability arising from your use of the App is limited to the fees you paid for the App in the three months preceding the claim. We are not liable for indirect or consequential losses, including lost sales or delivery costs.

8. Termination

You may stop using the App at any time by uninstalling it from your Shopify admin. On uninstall, billing stops and customer personal data is erased as described in our Privacy Policy. We may suspend the App where required to comply with Shopify or Meta policies, or where use breaches these terms.

9. Changes

We may update these terms. Material changes will be reflected by the "last updated" date above, and continued use of the App constitutes acceptance.
